STELPRO’S ALLIA^TM SMART HOME SOLUTION 

TERMS AND CONDITIONS OF USE FOR VOICE ACTIONS AND VOICE ASSISTANTS

PLEASE READ CAREFULLY

These terms and conditions of use for voice actions and voice assistants apply to you and constitute a legal agreement between you and Stelpro Design inc. (“Stelpro”) if you wish to use voice actions and Google’s voice assistant (the “Voice Assistant”) in relation with Stelpro’s Allia^TM Smart Home Solution and products (the “Solution”). 

These terms and conditions are in addition to other contracts and documents applicable to the use of the Solution, including without limitation the end user license agreement and Stelpro’s privacy policy.

BY USING THE VOICE ACTIONS AND/OR THE VOICE ASSISTANT IN CONNECTION WITH THE SOLUTION, YOU AGREE AND ACCEPT THE TERMS AND CONDITIONS IN THIS DOCUMENT, AND ANY REVISED OR RENEWED VERSIONS THEREOF, AS WILL BE PUBLISHED FROM TIME TO TIME ON STELPRO’S WEBSITE. IN THE EVENT OF ANY ERROR, OMISSION OR OTHER DISCREPANCIES BETWEEN THIS DOCUMENT AND ANY AMENDMENTS OR ADDENDUMS ACCOMPANYING THIS DOCUMENT AND THE DOCUMENT MADE AVAILABLE BY STELPRO ON ITS WEBSITE, THE TERMS OF THE LATTER SHALL PREVAIL. YOU MAY NOT MODIFY THIS DOCUMENT BY MAKING ANY TYPED, HANDWRITTEN, OR ANY OTHER CHANGES TO IT FOR ANY PURPOSE.

YOU AGREE THAT YOU ARE THE END-USER OF THE SOLUTION AND YOU REPRESENT THAT YOU ARE OF LEGAL AGE AND ARE AUTHORIZED TO ACCEPT THESE TERMS AND CONDITIONS ON BEHALF OF YOURSELF AND ANY PARTY TO WHOM YOU ALLOW THE USE OF THE SOLUTION.

IF YOU DO NOT AGREE WITH ALL OF THE TERMS AND CONDITIONS OF THIS DOCUMENT, DO NOT USE THE VOICE ACTIONS AND VOICE ASSISTANTS IN CONNECTION WITH THE SOLUTION.

1. Terms and conditions applicable to the use of the Voice Assistant

In addition to the terms and conditions provided for in this document, you must accept and agree to the terms and conditions of use of the Voice Assistant as well as other documents and legal agreements required by Google to enable the use of the Voice Assistant (the “Conditions of use of the Voice Assistant”).

It is your responsibility to read and understand the Conditions of use of the Voice Assistant before accepting them, including any modification or update, as well as applicable fees, if any, which may be charged by Google. If you do not agree to the Conditions of use of the Voice Assistant, you must not use the Voice Assistant.

YOU ARE RESPONSIBLE FOR OBTAINING AND MAINTAINING ANY EQUIPMENT, DEVICE, WI-FI AND INTERNET CONNECTIONS, THIRD PARTY SOFTWARE, UPGRADES AND ANCILLARY SERVICES NEEDED TO CONNECT TO, ACCESS OR OTHERWISE USE THE VOICE ASSISTANT AND YOU ARE RESPONSIBLE FOR ALL FEES ASSOCIATED WITH SUCH USE AND FOR COMPLIANCE WITH ANY AGREEMENTS RELATED TO SUCH USE.

2. Using voice actions

The Solution may allow from time to time the use of specific voice actions, including for example to adjust the temperature of a room or a thermostat, adjust the brightness of a device or room or do any other action made possible by present or future voice actions developed for the Solution. Service fees may apply, now or in the future, for certain actions and/or features. To find out more about the voice actions developed for the Solution, we invite you to visit Stelpro’s website.

You are responsible for your communications to interact with the Solution and/or Stelpro’s products using the Voice Assistant, including by any person to whom you allow the use. You must preserve the confidentiality of your usernames and passwords allowing you to access the Solution and/or the Voice Assistant.

STELPRO RESERVES THE RIGHT TO MODIFY, SUSPEND AND/OR TERMINATE ANY VOICE COMMAND OR ACTION AT ANY TIME AND FOR ANY REASON, INCLUDING FOR ANY BREACH BY YOU OF ANY CONTRACT, TERMS AND CONDITIONS OF USE OR STELPRO’S PRIVACY POLICY.

3. No warranty and limitation of liability

The use of voice commands or actions through the Voice Assistant is not warranted by Stelpro and these features are provided as is, without any legal or contractual warranty. You are not obliged to use the Voice Assistant services to use the Solution and if you decide to use the Voice Assistant, you do so at your own risk and subject to the applicable terms and conditions of use.

WITHOUT LIMITING THE SCOPE OF THE DISCLAIMERS AND LIMITATION OF LIABILITY CONTAINED IN THE END-USER LICENSE AGREEMENT, YOU ACKNOWLEDGE AND ACCEPT THAT STELPRO SHALL NOT BE RESPONSIBLE FOR THE NON FUNCTIONING, MALFUNCTION OR ERROR IN THE OPERATION OF ANY VOICE ACTION OR COMMAND AS WELL AS FOR ANY DAMAGE RELATED TO THE USE OF THE VOICE ASSISTANT, INCLUDING WITHOUT LIMITATION IF FOR EXAMPLE THE VOICE ASSISTANT DOES NOT HEAR YOU CORRECTLY, DOES NOT INTERPRET YOU CORRECTLY OR DOES SOMETHING THAT YOU DID NOT ASK THE VOICE ASSISTANT TO DO.

4. Confidentiality

By using the voice commands and actions and the Voice Assistant, you agree and acknowledge that Stelpro collects information about you and your use of the Solution and you consent to the collect and use by Stelpro of your information. Information obtained by Stelpro may be disclosed or collected directly by certain relevant third parties. In addition, by using the Voice Assistant, you authorize Stelpro to communicate to Google and other third parties authorized by Google the information requested to perform the voice commands and actions. For more information on how Stelpro collects, uses and shares this information, please see Stelpro’s Allia^TM Smart Home Solution privacy policy available on Stelpro’s website.

In addition, you acknowledge that Google may also collect, use and keep certain information, including information about you and your use of the Solution and/or the Voice Assistant, and it is your responsibility to read and understand Google’s privacy policy applicable to the Voice Assistant before using the Voice Assistant.

5. Governing law and jurisdiction

This contract will be deemed entered into in the Province of Quebec, Canada. This contract shall be governed by the laws applicable in the Province of Quebec, Canada, without regard to the principles of conflicts of law.

The parties hereby expressly agree and consent to the exclusive jurisdiction of the courts of the judicial district of Montreal, Province of Quebec, Canada, for the purpose of resolving any dispute relating to this contract and they elect domicile in the judicial district of Montreal, Province of Quebec, Canada.
